That is the problem, things are not discussed on here and other lists,
people are attacked demeaned and belittled. We are all tired of it and it
just continues on as a personal crusade to try and make everyone see the way
they do and it just isn't going to and just won't work.
Seems to me it should be given a rest already.

Your hypothesis simply defies accepted principles of logic, Derick.
If a singular individual is fearful for the project and wants to
protect it "on behalf of" the *full* membership, then logic says that
person would:
a) quickly incorporate the project as a corporation that _has_
members, which under NC statutes ensures the membership retains
control of its project. Nola didn't do this. She incorporated NCGenWeb
in July 2007, as a corporation which will have _no_ members, which
under NC statues means voting and control of the corporation rests
solely in the hands of the incorporator and/or directors.
b) Having taken that protective action, would be immediately
forthright and announce her actions to the full membership. Nola
didn't do this, either. She kept her corporation secret for more than
a year, and only came forward after I discovered what she'd done while
researching records of the Secty of State for an unrelated news
series.
c) Certainly would not publicly assert, three months after she'd
personally incorporated her state project, that it would be illegal
for USGW members to incorporate their own project and threaten to sue
if any members did.
On the other hand....
My support of incorporation of the project by its *membership* is long
standing. Indeed, I - not knowing Nola had secretly incorporated
NCGenWeb 9 months earlier - was the one who made the motion in March
2008 that our *membership* incorporate NCGenWeb as a nonprofit, which
the membership voted to approve. Why didn't Nola come forward then
with her 9 month old secret and inform us that she had _already_
personally incorporated NCGenWeb as an organization with _no_ members?
Particularly since our membership's vote was moot, as she knew,
because the law precludes any group from incorporating someone else's
corporation. ;-)
If her action was so above-board, why did she incorporate in a manner
which seized control _from_ the membership and placed it solely in the
hands of the corporation's directors, and why did she keep it all
secret for more than a year until she was caught?
Are you a director of Nola's corporation, Derick?
